1. Agreement to Terms

By accessing or using AXIS ("the Service"), operated by Nexus Strategies LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

AXIS is an AI-powered growth platform for small businesses. The Service generates and manages your complete digital presence — including websites, content strategy, blog posts, social media, email sequences, lead capture, and growth planning. Using artificial intelligence, AXIS acts as your digital growth team, continuously creating, publishing, and optimising your online presence based on information you provide during onboarding and through ongoing use of the platform.

3. Account Registration

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

4. Subscriptions and Billing

AXIS offers paid subscription plans billed monthly. By subscribing, you authorise us to charge your payment method on a recurring basis. You may also purchase credit packs for additional AI usage.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. We reserve the right to change pricing with 30 days' notice.

5. Your Content and Data

You retain ownership of all content you provide to the Service (business descriptions, logos, copy, images). By using the Service, you grant us a limited licence to process, store, and display your content solely for the purpose of providing the Service.

Content generated by AXIS on your behalf (websites, blog posts, social posts, email copy) is owned by you. You may use, modify, and distribute generated content without restriction.

6. AI-Generated Content

The Service uses artificial intelligence to generate content. While we strive for accuracy and quality, AI-generated content may contain errors, inaccuracies, or inappropriate material. You are responsible for reviewing and approving all content before it is published or distributed. We are not liable for any consequences arising from the use of AI-generated content.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or to promote illegal activities
• Generate content that is defamatory, obscene, hateful, or infringes on third-party rights
• Attempt to reverse-engineer, exploit, or interfere with the Service's infrastructure
• Use automated tools to scrape, overload, or abuse the Service
• Resell or redistribute the Service without our written consent
• Impersonate another person or entity

8. Third-Party Services

AXIS integrates with third-party services including Vercel (website hosting), LinkedIn, Google, Stripe (payments), and others. Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services.

9. Website Hosting and Domains

Websites generated by AXIS are deployed to third-party hosting providers. We do not guarantee 100% uptime. If you purchase a domain through the Service, you are the domain registrant and subject to the registrar's terms. Domain fees are non-refundable.

10. Limitation of Liability

To the maximum extent permitted by law, AXIS and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total liability for any claims arising from the Service is limited to the amount you paid us in the 12 months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will achieve any particular business outcome.

12. Termination

We may suspend or terminate your account if you violate these Terms or if we reasonably believe your use poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice. Continued use of the Service after changes constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
